Proforma Invoice vs Tax Invoice vs Commercial Invoice: What Is the Difference?

By the Billfy team · Updated 3 November 2026 · 6 min read

Ask three people what a proforma invoice is and you may get three answers. The confusion is understandable. Proforma, tax and commercial invoices can look almost identical, but each one has a different purpose, and using the wrong one can delay a payment, a shipment or a tax claim.

This guide explains each type in plain English and shows when to use which.

Short answer: a proforma invoice is a preview of a sale before it happens and is not a request for payment. A tax invoice is the official bill that records the sale and any GST or VAT. A commercial invoice is used for international shipments so customs can value the goods.

What is a proforma invoice?

A proforma invoice is an estimate of what the final invoice will be. You send it before the goods are shipped or the work is done. It tells the buyer the price, the items, the delivery terms and the expected total.

A proforma is not a tax document and does not record a sale. Buyers often use it to get internal approval, to arrange a bank transfer or a letter of credit, or to apply for an import licence. When the order is confirmed, you issue the real invoice.

What is a tax invoice?

A tax invoice is the official document that records a sale and shows the tax charged. In countries with GST or VAT, the buyer may need it to claim input tax, and the seller needs it to report the sale. Because of that, tax authorities usually specify what it must contain, such as the seller’s tax registration number, a sequential invoice number, and the tax shown separately.

Our tax invoice checklist lists the fields to include, and the guide to GST vs VAT explains how the tax itself works.

What is a commercial invoice?

A commercial invoice is used when goods cross a border. Customs officers use it to decide the value of the shipment, the duty and tax payable and whether the goods are allowed in. It usually shows the seller and buyer, a detailed description of the goods, quantity, unit price, currency, country of origin, and the shipping terms.

A commercial invoice may also be a tax invoice if it meets the local rules, but the two are not automatically the same. Requirements vary by country, so ask your freight forwarder or customs agent what is needed for your route.

Which should you use?

  • Customer wants a price to approve or prepay: send a proforma.
  • You have supplied goods or services locally and charged tax: issue a tax invoice.
  • You are shipping goods abroad: prepare a commercial invoice, and a tax invoice too if your local rules require it.
  • Not sure: ask your accountant. Using the wrong document is a common cause of rejected claims and customs delays.

Example: one sale, three documents

A company in Lahore agrees to sell 100 units to a buyer in Dubai. First, it sends a proforma invoice so the buyer can arrange payment. After the order is confirmed and goods are ready, it issues a commercial invoice to go with the shipment. Where the sale must be recorded for tax in its own country, it also issues a tax invoice.

If you only sell services locally, you will normally need just one document, the tax invoice, or a simple invoice if you are not registered for tax.

Frequently asked questions

Is a proforma invoice a legal document?

It is usually an informational estimate rather than a binding invoice. It does not replace the final invoice and is not normally used for tax claims.

Can I use a proforma invoice to get paid?

You can send it to request a prepayment, but you still need to issue a proper invoice once the sale is complete.

Is a commercial invoice the same as a tax invoice?

No. A commercial invoice is for customs. It can double as a tax invoice only if it meets the tax rules of your country.

Do I need a proforma invoice for every order?

No. It is optional and most useful for exports, large orders, or when a buyer needs approval before paying.

What happens if I use the wrong invoice type?

The buyer may be unable to claim tax or the shipment may be delayed at customs. Check requirements with your accountant or freight agent.

Tax rules, rates and deadlines differ by country and change over time, and they depend on your situation. This guide is general information, not tax or legal advice, so confirm the details with your accountant or tax authority.
